Important: By accessing or using the Platform, you agree to these Terms & Conditions in full. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By using AcroEssence, creating an account, or accessing any features of the Platform, you agree to be legally bound by these Terms.

2. Description of the Platform

  • AcroEssence is a passive online directory and networking platform for the global acrobatics community.
  • Users can create profiles, view others, and send messages.
  • We do not arrange, manage, supervise, or facilitate offline or online meetings, training, or transactions.
  • Any interaction or agreement between users is solely between them, and AcroEssence is not a party.

3. Eligibility & Age Requirements

  • Minimum age: 13 years
  • Users 13–17 may register under parental supervision, with limited access/platform functionality.
  • Users 18+ may access all features.
  • By registering, you represent and warrant that your information is accurate and that you have legal capacity to agree to these Terms.

4. Accounts and Registration

  • Provide accurate and complete information
  • Maintain account security
  • You are responsible for all activity under your account
  • AcroEssence may suspend or terminate accounts at its discretion

5. User Profiles & Content

  • Information you voluntarily provide (bio, photos, location, studio affiliation, social media, etc.) is visible to other users
  • You assume all risks of posting information
  • We cannot guarantee privacy or control how others use your information

6. User Content License

By posting content, you grant AcroEssence a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your content to operate and promote the Platform.

7. Intellectual Property

  • All Platform content, software, logos, and design elements are owned or licensed by AcroEssence
  • Unauthorized copying, reverse engineering, or commercial use is prohibited

8. User Conduct

You agree not to:

  • Provide false or misleading information
  • Harass, threaten, or impersonate users
  • Post illegal, harmful, or exploitative content
  • Use the Platform for illegal purposes
  • Scrape, automate, or bulk-download data
  • Solicit or advertise without written permission

AcroEssence may remove content or terminate accounts at its discretion.

9. Platform Role & User Relationships

  • AcroEssence is a neutral directory
  • Does not act as agent, partner, or facilitator
  • Any agreements or interactions are solely between users
  • We do not supervise or control user interactions

10. Risk Allocation & Safety

  • Users assume all risks of interacting with others
  • AcroEssence does not verify users or their credentials
  • Physical activity disclaimer: Acrobatics carries inherent risks; you are responsible for safety
  • You represent you are physically fit for activities and have consulted professionals if needed

11. Release of Liability Between Users

  • Users waive claims against AcroEssence for disputes, injuries, or harm caused by other users
  • All interactions occur at the users’ own risk, online or offline

12. Social Media & In-Person Events Disclaimer

  • Content posted on social media, blogs, or other channels is for information only
  • AcroEssence is not responsible for how content is interpreted or acted upon
  • In-person events or workshops, anywhere in the world, are voluntary
  • Participants assume all risks of injury, property damage, or disputes
  • These Terms govern participation to the maximum extent permitted by local law

13. “As-Is” Disclaimer

  • Platform is provided “as is” and “as available”
  • No warranties of accuracy, reliability, safety, availability, fitness for purpose, or non-infringement
  • No guarantee of uninterrupted or error-free service

14. Limitation of Liability

  • AcroEssence and affiliates are not liable for indirect, incidental, consequential, punitive, or enhanced damages
  • Total liability is capped at $100 CAD or total payments in the past 12 months, whichever is higher
  • If no payments, liability is $100 CAD maximum

15. Indemnification

You agree to indemnify and hold harmless AcroEssence from claims, damages, liabilities, losses, or expenses arising from:

  • Your content
  • Your actions
  • Interactions with other users
  • Violations of these Terms

16. Suspension and Termination

  • AcroEssence may suspend or terminate accounts at any time
  • Users may discontinue use at any time
  • Access ends immediately upon termination

17. Mandatory Arbitration & Class Action Waiver

  • Any dispute arising from:

    • Platform use
    • Your account or content
    • Any AcroEssence-hosted or sponsored event (online or offline, anywhere)

    shall be resolved exclusively through binding arbitration under the laws of British Columbia, Canada.

  • Users waive the right to participate in class-action lawsuits.

  • This applies regardless of your location or the location of any event, to the maximum extent permitted by local law.

18. Governing Law

  • Terms are governed by the laws of British Columbia, Canada
  • Disputes not subject to arbitration are under the exclusive jurisdiction of BC courts
  • For users or events outside Canada, these Terms apply to the maximum extent allowed by local law
  • Invalid or unenforceable provisions do not affect the rest of the Terms

19. General Legal Provisions

  • Severability: invalid provisions do not invalidate remaining Terms
  • Entire Agreement: supersedes all prior agreements
  • Waiver: failure to enforce does not waive rights
  • Assignment: AcroEssence may assign rights; users may not without consent
